Terms Of Use

These Terms of Use (the "Terms") shall govern your ("You" or "Your") access to and use of the IVC Data & Insights (I.V.C. - Research Center Ltd.) ("We" or "IVC" or "IVC Data & Insights") website located at www.ivc-online.com (the "Website") an online resource for information related to the Israeli High-Tech ecosystem and IVC’s activities, products and services.

By accessing and using the Website you agree to be bound by these Terms.

Please read the Terms carefully. If you do not agree with these Terms, you are not allowed to use this Website. Any entry or use will state that you have read and accepted these Terms, with no limitations.

By accepting these Terms and/or using the Website, you confirm that you are of legal age and authority to form a binding contract with IVC. If you agree to be bound by these Terms on behalf of your employer or other entity, you represent and warrant that you have full legal authority to bind your employer or such entity to these Terms. If you do not have the requisite authority, you may not accept these Terms or use the Website on behalf of your employer or any other entity. You may not use the Website and may not accept these Terms if you are a person barred from using the Website under the laws of the state of your residence or from which you use the Website.

If you violate these Terms, IVC reserves the right to issue you a warning regarding the violation or to suspend your use of the Website immediately. You agree that IVC does not need to provide you notice before suspending your use of the Website upon such violation of these Terms, but it may give such notice at its sole discretion.

IVC may change any part of the Website, including its content, at any time or discontinue any part of the Website for any reason, without prior notice to you and without any liability.

In its sole discretion, IVC may refuse to offer its services to any person or entity.

Access to the Website

You are responsible for ensuring your computer or mobile device meets all the technical specifications to enable you to access and use the Website. IVC does not provide you with the equipment to access and use our Website.

IVC cannot guarantee that the Website will always function without disruptions, delays, or errors. Several factors may impact the quality of your communication and use of the Website and may affect your communications, including, without limitation, your local network, firewall, your internet service provider, the public internet, and your power supply. IVC takes no responsibility for any disruption, interruption or delay caused by any failure of or inadequacy in any of these items or any other items over which we have no control. You are responsible for all fees charged by third parties related to your access and use of the Website (e.g., charges by internet service providers or airtime charges).

IVC invests reasonable resources to ensure the Website’s availability, however, despites IVC’s efforts, these activities may become interrupted, delayed, suspended, or detained, temporarily or permanently, due to factors or circumstances beyond IVC’s control or will.

Maintenance & Improvements

IVC is continually improving the Website. From time to time, we may perform maintenance, implement updates, upgrades, or new features (collectively, “Maintenance & Improvements”). During these periods, the Website may be unavailable, slower, or may operate inconsistently. Where practicable, IVC will use reasonable efforts to (a) schedule planned maintenance outside peak hours and (b) provide prior notice (e.g., via in-product message or status page); however, emergency or security-related maintenance may occur without notice.

To the maximum extent permitted by applicable law, IVC will not be liable for any interruption, delay, or data loss arising from or related to Maintenance & Improvements. IVC may temporarily suspend or limit access to the Website to perform Maintenance & Improvements or to address security, integrity, or legal issues, or events beyond its reasonable control.

Account Information

Using the Website may require creating an account ("Account"). While creating an Account, you may be required to insert your E-mail address and choose a password to enable your future login to the Website ("Login Information").

The following rules govern the security of your Account and Login information. For these Terms, references to Account and Login information shall include any account and account information, including usernames, passwords or security questions created to use the Website.

  1. You shall not share your Account or User Login Information, nor let anyone else access your Account or do anything else that might jeopardize its security.
  2. In the event you become aware of or reasonably suspect any breach of security, including, without limitation, any loss, theft, or unauthorized disclosure of your Login Information or unauthorized access to your Account, you must immediately notify IVC and modify your Login Information.
  3. You are solely responsible for maintaining the confidentiality of the Login Information, and you will be responsible for all uses of your Login Information, including purchases, whether or not authorized by you.
  4. You are responsible for anything that happens through your Account, whether or not you took such actions, including, for the avoidance of doubt, actions taken by third parties. You, therefore, acknowledge that your Account may be terminated if someone else uses it to engage in any activity that violates these Terms or is otherwise improper or illegal.  
  5. You undertake to monitor your Account and restrict its use by any individual barred from accepting these Terms and accessing or using the Website, under the provisions listed herein or any applicable law. You shall assume full responsibility for any unauthorized use of the Website by any of those mentioned above. and
  6. IVC reserves the right to remove or reclaim any usernames at any time and for any reasonable reason, including but not limited to claims by a third party that a username violates such third party's rights.

IVC reserves the right to preserve and disclose any information that may be obtained in connection with the Website, and your use thereof, as IVC shall consider necessary to: (i) enforce these Terms (ii) respond to user support requests, or (iii) protect the safety of the Website.

You are solely responsible for any action carried out under your Account, even if you lose your login username and/or password, and even if they are carried out by any third party with no explicit consent on your part.

IVC uses defence mechanisms to secure its data. Hacking into these systems is considered a criminal offense under Israeli laws. However, IVC cannot guarantee the absolute protection of its systems, data leaks, or malfunctions and interruptions to the operation of the systems used by this Website may occur, and you shall have no claim and/or complaint in this matter.

Account Termination

IVC may refuse access to the Website or may terminate your Account without notice in case of suspected violation of these Terms, illegal or improper use of your Account, or unlawful or inappropriate use of the Website, or IVC's intellectual property as determined by IVC in its sole discretion.

 You may lose your username as a result of Account termination without responsibility on the part of IVC for any damage that may result from the foregoing. If you have more than one Account, IVC may terminate all of your Accounts.

Intellectual Property

IVC invests efforts and knowledge to collect, assemble, arrange, and edit the data and information accessible through this Website, and, as such, owns the copyright in the content according to law. The Website and the Materials are protected by applicable copyright, trademark, and other laws protecting intellectual property and related proprietary rights.

Without derogating from any other terms herein, IVC and its affiliates retain all rights in the Website and its materials (including, but not limited to, the information and any part thereof, applications, software, designs, graphics, texts, pictures, video, sound, music, and other files, and their selection and arrangement) (collectively, "Materials").

Subject to your compliance with these Terms, IVC grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited scope license to use the Website and Materials.

Use of the Website and Materials shall be solely for your immediate benefit and for no other purpose. You are allowed to search in the database, review the Materials, and download materials only via the Website’s designated download options.

This license is strictly personal. You are not allowed to permit or enable any third party, including anyone from your organization, to access or use the Website or Materials under your name.

You are not allowed to copy, monitor (e.g., spider, scrape), deep-link, display, download (without explicit written permission), reproduce, or to use crawlers, robots, data mining or extraction tools of any type in connection with the Website and Materials.

You shall not, nor shall you cause or permit any other party to modify, decompile, disassemble, reverse engineer, transfer, sub-license, distribute, reproduce, frame, republish, scrape, transmit, lease or sell the Website and Materials in any form or by any means, in whole or in part.

You shall not: (i) copy the Website Materials for the creation of a product or service that competes with the Website or any part thereof, including without limitation the creation of a parallel or resembling database; (ii) disrupt servers or networks connected to the Website; (iii) use or launch any automated system (including without limitation, "robots" and "spiders") to access the Website; and (iv) circumvent, disable or otherwise interfere with security-related features of the Website or features that prevent or restrict use or copying of any content or that enforce limitations on use of the Website.

Subject to the preceding, and without derogation from it, according to section 19 of the Israeli Copyright Act, it is allowed to make limited "fair use" of content from the website, for purposes such as private study, research, criticism, review, journalistic reporting, quotation, or instruction and examination by an educational institution. The fairness of the use is examined per the statutory guidelines detailed there.

In any case of such fair use that strictly falls within the statutory exception, the user is required to give credit to the source: IVC Data and Insights.

All other uses of copyrighted or trademark material, including any derivative use, require explicit, prior written consent from IVC.

Any reproduction or redistribution of Materials not in accordance with these Terms is explicitly prohibited and may result in severe civil and criminal penalties.

You hereby acknowledge that these Terms limit your license to use the Website and Materials, and if you violate or if, at any point, you do not agree to any of these Terms, your license to use the Website shall immediately terminate, and you shall immediately refrain from using the Website.

You hereby acknowledge that you do not acquire any ownership rights by using the Website or accessing any of the Website’s Materials, or rights to any derivative works thereof.

The names of actual companies and products mentioned herein may be the trademarks of their respective owners.

General terms and conditions for the purchase of products or services

Any purchase of services or products on this Website will be subjected, in addition to the Terms, to these specific purchase terms and conditions. Any contradiction between the Terms and the purchase terms and conditions, the terms of use set forth in the specific agreement will apply.

The Website offers, from time to time, a variety of offers, products, and services (“the Offers”). It will be made clear that the validity of these Offers is according to the terms and conditions of the entire offer, and IVC maintains its exclusive right to remove or change, any Offer and/or rates listed or found on the Website, without giving any notice in advance.

Prices listed on the Website do not include VAT, that will be added at checkout.

Any purchase is subjected to credit card clearance by the credit card company for said service / product.

Once the order is confirmed by IVC, you will be charged with the full costs of the transaction, including operational fees.

The final supply date is the one registered on IVC’s computers, and IVC’s records on this matter will be considered as key evidence on this matter.

Payment, to the extent charged, will be safely processed through a third-party payment processor (such as PayPal) (a "Payment Processor") and then paid to IVC.

In the event of credit card fraud or unauthorized use of your data by third parties, most banks and credit card companies bear the risk and cover all the charges resulting from such fraud or misuse, which may sometimes be subject to a deductible.

In addition, you agree: (i) that the services of Payment Processors may be used to process transactions; (ii) to review and be bound by the Payment Processor's terms of use and privacy policy; (iii) to only provide valid and current information for yourself; and (iv) that all payments made are final and non-refundable.

You acknowledge that you may need to hold, or register, an active account with the Payment Processor.

We are not responsible or liable for any activities or conduct of a Payment Processor, and you agree that you shall have no claim, suit or demand of any kind, and by agreeing to these Terms, hereby irrevocably and completely waive any such claim, suit or demand of any kind, to the extent such may exist or hereafter arise, towards us and any of our managers, directors, officers, shareholders, partners, affiliates, employees, consultants, service providers and/or any other person or entity acting on our behalf, in connection with or related to the conduct or any act or omission of a Payment Processor.

Third-Party Materials

You may be able to access, review, display or use third-party website, resources, content, information or links to other websites or resources (the "Third-Party Materials") via the Website. You acknowledge sole responsibility for and assume all risks arising from your access to, use of, or reliance upon any such Third-Party Materials. IVC disclaims any liability you may incur arising from your access to, use of, or reliance upon such Third-Party Materials through the Website.

You acknowledge and agree that IVC: (i) is not responsible for the availability, accuracy, integrity, quality, or lawfulness of such Third-Party Materials or the products or Website on or available from such Third-Party Materials; (ii) has no liability to you or any third party for any harm, injuries or losses suffered as a result of your access to or use of such Third-Party Materials; and (iii) does not make any promises to remove Third Party Materials from being accessed through the Website. Your ability to access or link to Third-Party Materials or a third party's website does not imply any endorsement by IVC of Third-Party Materials or any such third-party website.

These Terms do not authorize you to, and you may not use any Third-Party Materials except as expressly permitted by the owners of such Third-Party Materials and such owners may have the right to seek damages against you for any unauthorized use of their Third-Party Materials.

Without derogating from any of IVC's rights and remedies under these Terms and under any applicable law, IVC shall be entitled, at its sole discretion, to immediately discontinue the Website or any part thereof, in the event of any alleged infringement, misappropriation, or violation of any rights of any third parties in connection with the Third Party Materials.

You may not use any Third-Party Materials for which you have not obtained appropriate approval. IVC cannot grant permission to use third-party content.

Links, Search Engines

The Website may contain links to other websites, applications or resources (the "Linked Sites"). The Linked Sites are not under the control of IVC, and IVC is not responsible for the contents of any Linked Site, including any link contained in a Linked Sites, or any changes or updates to a Linked Site. IVC is not responsible for any transmission received from any Linked Site. The inclusion of any link does not imply endorsement by IVC of the site or any association with its operators. You acknowledge and agree that IVC will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or Website available on or through any such site or resource.

  4. Any claim that any user submission made by you has caused damage to a third party; or
  5. Any User Content you post or share on or through the Website.

Notices to You may be made via email. IVC may also provide notices of changes to these Terms or other matters by displaying notices or links to notices to you generally on the Website. You agree that all agreements, notices, disclosures, and any other communications that IVC provides as aforementioned satisfy any legal requirement that such communications be in writing.

 

Force Majeure

IVC shall not be liable for any failure to perform its obligations under these Terms where such failure is as a result of events beyond its reasonable control (force majeure), including but not limited to: acts of war, terrorism, hostilities or sabotage; national emergency, epidemic, pandemic or quarantine; acts of government; fire, flood, earthquake, hurricane, or other natural disaster; cyber attacks, DDoS attacks, hacking attempts, system failures caused by third parties; power, telecommunication or Internet failures; labor disputes or civil unrest; or other circumstances that could not have been prevented by reasonable precautions.

In the event of a force majeure occurrence, IVC shall be excused from any further performance of the obligations affected by such event for as long as such event continues and IVC continues to use commercially reasonable efforts to resume performance. IVC will notify users of such occurrence when reasonably possible and will resume performance of its obligations as soon as reasonably possible after the removal of the cause of such failure.

You acknowledge and agree that temporary interruptions in the availability of the Website may occur from time to time as normal events in the provision of the Website. Under no circumstances will IVC be held liable for any damages due to such interruptions, limited availability, or cessation of the Website resulting from force majeure events.

General

By accessing or using the Website, you agree that the laws of the State of Israel, without regard to principles of conflict of laws and regardless of your location, will govern these Terms and any dispute of any sort that might arise between you and IVC.

Any claim or dispute between you and IVC that arises in whole or in part from your use of the Website shall be decided exclusively by a court of competent jurisdiction located in Tel-Aviv, Israel, to the exclusion of any other courts, and you hereby consent to, and waive all defences of lack of personal jurisdiction and forum non-convenience concerning venue and jurisdiction in the courts of Tel-Aviv, Israel.

IVC reserves the right to amend these Terms at any time and without notice, and it is your responsibility to review them regularly for any changes. Your use of the Website following any amendment of these Terms will signify your assent to and acceptance of its revised terms.

I.V.C. - Research Center Ltd. (“we”, “our” or “us”) respect your privacy and recognizes that your privacy is important. Therefore, we are providing this privacy policy ("Privacy Policy") to explain our practices regarding the collection, processing, usage, and transfer of certain data, including Personal Data (as defined below), from individuals who visit or otherwise interact with our website available at: www.ivc-online.com (“Visitors” and the “Website”) or customers and users of our IVC Data & Insights activities, products and services (“Users” and together with the Visitors defined as “you” or “your”).

This Privacy Policy is an integral part of our terms of use (the “Terms”) or any other agreement referencing this Privacy Policy, and it governs the data collection, process and transfer in respect with our Website, all in accordance with the relevant data protection and privacy laws and regulations. Definitions used herein but not defined herein shall have the meaning ascribed to them in our Terms.

In case of use and transfer to any other app of information received from Google APIs, it will adhere to Google API Services User Data Policy, including the Limited Use requirements.

We reserve the right to amend this Privacy Policy from time to time, at our sole discretion. The most recent version of the Privacy Policy will always be posted on the Website and the update date will be reflected in the “Last Modified” heading. In the event of a material change, we will make best efforts to send you a written notification. We will provide notice to you if these changes are material, and, where required by applicable law, we will obtain your consent.

Any amendments to the Privacy Policy will become effective within five (5) days as of the display of the modified Privacy Policy on the Website. We recommend you to review this Privacy Policy periodically to ensure that you understand our most updated privacy practices.

In general, we may collect two types of data from you, depending on your interaction with us:

Non-Personal Data

During your interaction with our website, we may collect aggregated, non-personal non-identifiable information, which may be made available or gathered via your access to and use of the Website (“Non-Personal Data “).The Non-Personal Data being collected may include your aggregated usage information and technical information transmitted by your device, such as: the type of browser or device you use, operating system type and version, language preference, time and date stamp, country location, etc.
